All such disputes shall be exclusively submitted to JAMS (www.jamsadr.com) for binding arbitration under its rules then in effect, before one arbitrator to be mutually agreed upon by both parties. The arbitration shall be conducted in accordance with the JAMS Consumer Arbitration Minimum Standards (the “Minimum Standards”) if it is determined by JAMS or the arbitrator that the Minimum Standards are applicable to the dispute. The Minimum Standards are available at www.jamsadr.com/consumer-minimum-standards. The location of any hearings will be determined by the applicable JAMS rules. The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute arising under or relating to the interpretation, applicability, enforceability, or formation of these Terms of Use. Any award rendered by the arbitrator may be enforced in a court of competent jurisdiction.
If you are a consumer (and, where applicable, a non-professional under applicable law) and have your habitual residence outside the United States of America, you (i) may benefit from the statutory consumer (or non-professional) protection pursuant to the mandatory provisions of the laws of the country of your residence and (ii) may have the right to bring a claim to enforce your consumer (or non-professional) protection rights before the courts of the country of your residence.

Waiver
No failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from these Terms of Use operates, or may be construed, as a waiver thereof. No single or partial exercise of any right, remedy, power or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power or privilege.
Severability
If any term or provision of these Terms of Use is invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall not affect any other term or provision of these Terms of Use or invalidate or render unenforceable such term or provision in any other jurisdiction. Where a provision is found to be invalid, illegal or unenforceable, the parties agree that the court may modify such provision to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent to the greatest extent possible.
Entire Agreement
The Terms of Use, together with the Privacy Notice, constitute the sole and entire agreement between you and Corient regarding this Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding such subject matter.
